Assaubayev Family on the transactions and settlement with Polyus Gold and KazakhGold: advising as to the disputes and transactions with Polyus Gold, KazakhGold and their affiliates; drafted and negotiated the initial Memorandum of Understanding (18th September 2010), the Principal Agreement and the subsequent Restated and Amended Principal Agreement (11 April 2011), all detailed transaction documents, as well as the an all-party Settlement Deed, signed in connection with the purchase by the Assaubayev Family of all of the Russian Group’s gold mines and assets in Kazakhstan, Kyrgyzstan and Romania and relating to certain debt for +/- US$800m, as to the reverse take-over by Polyus of KazakhGold through the injection of its Russian gold-mining businesses and assets, and whereby all proceedings brought by KazakhGold and its affiliates against members of the Assaubayev Family in London, BVI, Jersey, Guernsey and Switzerland, were settled and all freezing, disclosure and other orders released
